1. Introduction
These Terms of Service ("Terms") govern your use of the website moonbase.be and related services provided by Moonbase BV, a company registered in Belgium with its registered office at Frankrijklei 5, 2000 Antwerpen and VAT / enterprise number BE1039343221 ("Moonbase", "we", "us", "our").
By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Services
Moonbase provides the following services:
- Consulting and implementation — Microsoft Dynamics 365 implementations, custom business application development, and integration services
- Elevate platform — A productivity platform deployed as a Dynamics 365 web resource, offered under subscription licensing
- Portal — A customer and partner portal for project management, support, and collaboration
- Advisory — Technology strategy, architecture review, and project rescue services
Specific service terms, deliverables, timelines, and pricing are defined in individual Statements of Work (SOW) or subscription agreements.
3. Account Registration
Certain services require an account on the Moonbase Portal. When creating an account, you must:
- Provide accurate and complete information
- Maintain the security of your credentials
- Notify us promptly of any unauthorised access
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the operation of our services
- Upload malicious code or content
- Misrepresent your identity or affiliation
- Reverse-engineer, decompile, or disassemble our software
5. Intellectual Property
All content on this website — including text, graphics, logos, design, and software — is the property of Moonbase or its licensors and is protected by copyright, trademark, and other intellectual property laws.
For consulting and implementation services, intellectual property ownership is governed by the applicable Statement of Work. Unless otherwise agreed, custom work product created specifically for a client is assigned to the client upon full payment.
The Elevate platform and its source code remain the exclusive property of Moonbase. Clients receive a licence to use the software under the terms of their subscription agreement.
6. B2B Service Terms
6.1 Statements of Work
Consulting and implementation services are governed by individual Statements of Work (SOW) that define scope, deliverables, timeline, and pricing. In case of conflict, the SOW takes precedence over these general Terms.
6.2 Data Processing
Where Moonbase processes personal data on behalf of a client (as a data processor under GDPR Article 28), a Data Processing Agreement (DPA) will be executed. The DPA governs the processing of personal data within the scope of the engagement.
6.3 Service Level
Service level commitments for the Elevate platform and Portal are defined in the applicable subscription agreement. For consulting services, response times and escalation paths are defined in the SOW.
7. Payment Terms
- Subscription fees are billed in advance, monthly or annually
- Consulting services are billed per the agreed payment schedule in the SOW (typically monthly in arrears)
- Invoices are due within 30 days of the invoice date unless otherwise agreed
- Late payments may incur interest at the Belgian statutory rate for commercial transactions
- All prices are exclusive of VAT unless otherwise stated
8. Limitation of Liability
To the maximum extent permitted by Belgian law:
- Moonbase's total aggregate liability under these Terms or any SOW shall not exceed the total fees paid by the client in the 12 months preceding the claim
- Moonbase shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profit, data, or business opportunity
- This limitation does not apply to liability arising from gross negligence, wilful misconduct, or personal injury
9. Warranties and Disclaimers
Moonbase warrants that its services will be performed with reasonable skill and care, consistent with generally accepted industry standards. Beyond this:
- The website is provided "as is" without warranties of any kind
- We do not guarantee uninterrupted or error-free operation
- Information on the website is for general purposes and does not constitute professional advice
10. Termination
Either party may terminate a service agreement in accordance with the terms of the applicable SOW or subscription agreement. Upon termination:
- Access to the Portal and Elevate platform will be revoked
- Client data will be available for export for 30 days after termination
- After the 30-day period, client data will be deleted except where retention is required by law (e.g., 7-year Belgian tax obligation for invoices)
11. Governing Law and Disputes
These Terms are governed by and construed in accordance with Belgian law. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Antwerp, Belgium.
12. Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated via our website and, where applicable, by email to registered users. Continued use of our services after changes constitutes acceptance of the revised Terms.
