Elevate End-User Licence Agreement
The licence under which the Moonbase Elevate module may be installed and used.

1. Parties and acceptance
This End-User Licence Agreement ("EULA") is entered into between Moonbase BV, a company registered in Belgium ("Moonbase", "we", "us"), and the legal entity that registers an Elevate tenant or installs the Elevate module ("Customer", "you").
By (a) clicking "I accept" or an equivalent button during registration or checkout, (b) installing or activating the Elevate module in a Microsoft Dynamics 365 environment, or (c) using the Moonbase self-service licensing portal ("Portal"), the Customer accepts and agrees to be bound by this EULA. If the person accepting is acting on behalf of a legal entity, that person represents that they have authority to bind that entity.
2. Definitions
- Elevate — the Moonbase Elevate module, a productivity layer deployed as a Microsoft Dynamics 365 web resource, together with its server-side components, the Portal, and any documentation supplied with it.
- Tenant — the Customer's Microsoft Entra tenant (identified by tenant GUID).
- Environment — a Microsoft Dynamics 365 environment (production, sandbox, or trial) within the Tenant in which Elevate is installed.
- Authorised User — an individual employee, contractor, or agent of the Customer who is assigned an Elevate-managed security role in an Environment.
- Subscription Tier — Free, Pro, Premium, or Enterprise, as defined in Moonbase's published pricing or in the Customer's order form.
- Order — an order form, statement of work, online checkout transaction, or click-through registration that records the Customer's elected Subscription Tier, term, and (where applicable) committed seat count.
3. Grant of licence
Subject to the Customer's continuous compliance with this EULA, payment of any applicable fees, and the limits of the Subscription Tier, Moonbase grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to:
- install Elevate within Environments belonging to the Customer's Tenant;
- permit Authorised Users to access and use Elevate solely for the Customer's internal business purposes; and
- access the Portal to administer the Customer's subscription, seats, and billing.
The licence is granted per Tenant. Each additional Tenant requires its own registration and licence. The licence does not transfer with corporate change-of-control without Moonbase's prior written consent, not to be unreasonably withheld.
4. Subscription Tiers and seat scope
The functional scope and quantitative limits of the licence are determined by the Subscription Tier recorded in the Customer's Order:
- Free — included by default for every registered Tenant. The Free tier always includes the Elevate Timeline module. Free is provided at no charge and may be used for the Customer's lawful internal business purposes, subject to the restrictions in Section 6 and the disclaimers in Section 11.
- Pro and Premium — paid SME tiers billed through Moonbase's payment processor. The Customer's administrators allocate seats in the Portal; allocated seats are the contractually licensed quantity. The Customer may not assign Elevate-managed security roles to Authorised Users in excess of allocated seats. Moonbase enforces this cap technically inside Dynamics 365 and operationally via the Portal.
- Enterprise — committed-seat annual subscription documented in a signed order form. Use beyond committed seats is permitted, subject to the true-up mechanics described in the Order. Custom modules, MSA terms, and additional service-level commitments may be agreed in writing.
Modules included in each Subscription Tier are listed at /elevate and may be updated by Moonbase from time to time, provided that material reductions in scope during a paid term will not apply to the Customer retroactively for that term.
5. Authorised Users
The Customer is responsible for the acts and omissions of its Authorised Users as if they were the Customer's own. The Customer must ensure that each Authorised User has been informed of, and is bound by, terms at least as protective of Moonbase's rights as this EULA.
Authorised Users must be individual humans. Generic, shared, or service accounts must not be assigned an Elevate-managed security role unless used solely for documented automation approved in writing by Moonbase.
6. Restrictions
The Customer shall not, and shall not permit any third party to:
- copy, modify, translate, or create derivative works of Elevate, except as expressly permitted by mandatory law;
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from Elevate, except to the extent that such activity is expressly permitted by mandatory law and only to the extent strictly necessary for that purpose;
- circumvent, disable, alter, or tamper with licence checks, seat caps, the operational telemetry signal described at /elevate/terms, audit logging, or any other security or rights-management feature of Elevate;
- resell, rent, lease, sublicense, distribute, time-share, host, or operate Elevate as a service for the benefit of a third party;
- use Elevate to build, train, or improve a competing product;
- remove or alter copyright, trademark, or other proprietary notices in Elevate or its outputs;
- use Elevate in violation of any applicable law, including export-control laws, sanctions, and laws prohibiting unauthorised data processing; or
- use Elevate for the processing of data of categories or volumes that materially exceed the scope reasonably contemplated by the Subscription Tier without Moonbase's prior written agreement.
7. Customer obligations
The Customer shall:
- maintain its Microsoft Entra tenant and Dynamics 365 environment in accordance with vendor security guidance;
- keep its Portal administrator contact details current;
- pay all fees due under the applicable Order on time;
- cooperate with reasonable security, audit, and incident-response requests where a security event affects shared systems; and
- not use Elevate in a manner that could reasonably be expected to harm Moonbase's reputation or service availability for other customers.
8. Telemetry, data, and privacy
Operation of Elevate involves a low-volume operational telemetry signal (Tenant identifier, Environment identifier, and a count of Authorised Users assigned an Elevate-managed security role). Personal data in the Portal is processed for operational and transactional purposes only. Both are described in full in the Elevate Telemetry & Privacy Notice, which is incorporated into this EULA by reference. Tampering with the telemetry signal is a material breach of this EULA.
9. Intellectual property
Elevate, the Portal, and all related software, designs, documentation, trademarks, logos, and know-how are and remain the exclusive property of Moonbase and its licensors. No rights are granted to the Customer except those expressly set out in this EULA. All rights not expressly granted are reserved.
Configuration data, business records, and Customer-created content stored within the Customer's own Dynamics 365 environment remain the property of the Customer. Nothing in this EULA grants Moonbase any ownership interest in such data.
If the Customer provides feedback or suggestions about Elevate, the Customer grants Moonbase a perpetual, royalty-free, worldwide licence to use that feedback to improve its products, without obligation of attribution or compensation.
10. Fees, payment, and changes
Fees, billing cadence, payment method, and any committed-seat or true-up mechanics are set out in the Customer's Order. Late payment of fees due may, at Moonbase's option, result in suspension of paid features in accordance with Section 12. The Free tier is provided at no charge but is subject to the rest of this EULA, including Section 6 (Restrictions) and Section 11 (Disclaimer).
Moonbase may revise pricing on renewal. For paid Subscription Tiers, price changes will not take effect during a current paid term unless expressly agreed in the Order.
11. Disclaimer of warranties
Elevate is licensed "as is" and "as available". To the maximum extent permitted by applicable law, Moonbase disclaims all warranties, express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, accuracy, title, and non-infringement. Moonbase does not warrant that Elevate will be uninterrupted, error-free, secure against every threat, or compatible with every Dynamics 365 configuration.
The Free tier is provided without any service-level commitment and may be modified, suspended, or discontinued by Moonbase at any time on reasonable notice.
12. Suspension and termination
Moonbase may suspend or terminate the Customer's right to use Elevate, in whole or in part, with or without notice as the circumstances reasonably require, if the Customer:
- commits a material breach of this EULA, including breach of Section 6 (Restrictions) or tampering with telemetry;
- fails to pay fees due under an Order and does not cure the failure within a reasonable cure period;
- uses Elevate in a manner that creates a material security, legal, or operational risk to Moonbase, its other customers, or third parties;
- becomes subject to insolvency proceedings; or
- otherwise misuses Elevate in a manner inconsistent with this EULA or any applicable Order.
Either party may terminate a paid Subscription Tier in accordance with the cancellation terms set out in the Order. Moonbase may terminate the Free tier on thirty (30) days' notice for convenience.
On termination of all subscriptions for a Tenant, the Customer's right to use Elevate ends, the operational telemetry signal ceases, and Customer data is treated in accordance with the retention windows in the Elevate Telemetry & Privacy Notice and the Privacy Policy.
13. Limitation of liability
To the maximum extent permitted by Belgian law:
- Moonbase's total aggregate liability arising out of or in connection with this EULA — whether in contract, tort (including negligence), under statute, or otherwise — shall not exceed the total fees actually paid by the Customer for Elevate in the twelve (12) months preceding the event giving rise to the claim;
- for the Free tier, where no fees have been paid, Moonbase's total aggregate liability shall not exceed one hundred euro (€100);
- Moonbase shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, or loss or corruption of data; and
- nothing in this EULA limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct.
14. Indemnification by the Customer
The Customer shall defend, indemnify, and hold Moonbase harmless against any third-party claims, damages, fines, and reasonable legal costs arising from (a) the Customer's breach of this EULA, (b) the Customer's misuse of Elevate, or (c) the content, lawfulness, or accuracy of data the Customer or its Authorised Users process through Elevate.
15. Confidentiality
Each party may receive non-public information of the other ("Confidential Information"). The receiving party shall (a) use Confidential Information only to perform under this EULA and any related Order, (b) protect it with at least the same degree of care it uses for its own confidential information of similar sensitivity, and in any event no less than reasonable care, and (c) not disclose it to third parties except to its personnel and advisors bound by similar obligations. This obligation survives termination for three (3) years, except for trade secrets which survive indefinitely.
16. Beta and preview features
Moonbase may make features available labelled "beta", "preview", "experimental", or similar. Such features are provided strictly "as is" without any warranty or service-level commitment, may be changed or withdrawn at any time, and are excluded from the liability thresholds in Section 13 to the maximum extent permitted by law (Moonbase's liability for such features being limited to the lower of the cap in Section 13 and any cap stated in the feature's specific terms).
17. Order of precedence
In the event of conflict, the following order of precedence applies (highest first):
- a written, mutually-signed order form or master subscription agreement specific to the Customer;
- this EULA;
- the Elevate Telemetry & Privacy Notice;
- the general Terms of Service; and
- the Privacy Policy (in respect of personal data only).
18. Changes to this EULA
Moonbase may modify this EULA from time to time. Material changes will be communicated to registered Portal administrators by email or in-Portal notice with a reasonable notice period before taking effect. For paid Subscription Tiers, material changes that adversely affect the Customer will not apply during a current paid term unless expressly accepted by the Customer.
19. General
- Independent contractors — the parties are independent contractors. Nothing in this EULA creates a partnership, joint venture, agency, or employment relationship.
- Assignment — the Customer may not assign this EULA without Moonbase's prior written consent. Moonbase may assign this EULA to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force majeure — neither party is liable for failures or delays caused by circumstances beyond its reasonable control.
- Severability — if any provision of this EULA is held unenforceable, the remainder remains in full force and effect.
- Waiver — failure to enforce any provision is not a waiver of that or any other provision.
- Entire agreement — this EULA, together with the documents referenced in Section 17, constitutes the entire agreement between the parties regarding Elevate and supersedes any prior or contemporaneous understandings on the same subject matter.
- Survival — Sections 6, 9, 11, 13, 14, 15, 17, and 19 survive termination of this EULA.
20. Governing law and jurisdiction
This EULA is governed by and construed in accordance with Belgian law, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or in connection with this EULA shall be submitted to the exclusive jurisdiction of the courts of Antwerp, Belgium, without prejudice to mandatory rights of consumers under their local law.
